Terms & Conditions of Sale
These commercial terms govern all catalog orders, direct OEM quotations, formal tenders, and component sales through the Mercatus e-commerce portal.
Ballistic armor and active tactical countermeasure systems sold by Mercatus are regulated commercial defense articles. Unauthorized procurement, diversion, or misrepresentation of end-use is strictly prohibited under international trade treaties.
1.0 Scope of Application & Buyer Eligibility
These Terms & Conditions of Sale ("Terms") apply to all commercial transactions, proforma invoices, and institutional defense contracts executed through Mercatus (operated by Buckler Systems Limited). By placing an order, submitting a formal Request for Quotation (RFQ), or purchasing through this portal, the Buyer warrants and represents that they possess full legal authority to bind their institution, defense agency, or commercial entity.
Mercatus strictly serves licensed armoring companies, defense ministries, sovereign security agencies, diplomatic missions, and vetted commercial fleet operators. We reserve the right to demand verification of identity, business registration, and end-user legitimacy prior to order processing.
2.0 Ballistic Standards, Specifications & Component Ratings
All armor products, including curved ballistic transparent armor, laser-cut opaque ballistic steel, composite runflat assemblies, and in-motion countermeasures, are tested according to internationally recognized ballistic standards, including NATO STANAG 4569 (Levels 1 through 4), VPAM BRV 2009, and CEN 1063 (BR6/BR7).
Performance ratings are certified under strictly controlled laboratory ballistic conditions. Certified ballistic performance requires OEM-compliant installation, correct torque specifications, and complete structural integration. Mercatus is not liable for structural performance degradation resulting from unauthorized field modifications, improper welding, or non-certified vehicle chassis alteration.
3.0 Order Placement, Quotations & Purchase Agreements
Orders placed via the digital store checkout constitute an offer to purchase subject to final verification. Formal quotations issued by Mercatus remain valid for thirty (30) calendar days from the date of transmission unless otherwise stated in writing.
For institutional, government, or defense ministry procurement, signed purchase orders (PO), letters of credit, or authorized procurement contract documents must be transmitted to our contract administration desk at contracts@bucklerlandsystems.com.
4.0 Pricing, Currency & International Tariffs
All catalog prices are quoted in United States Dollars ($ USD). Stated prices exclude destination import tariffs, value-added taxes (VAT), customs clearance handling fees, and sovereign import surcharges unless explicitly designated as DAP (Delivered at Place) or DDP (Delivered Duty Paid) in formal contract agreements.
The Buyer is solely responsible for remitting all applicable local import taxes, duties, and regulatory levies in the destination jurisdiction.
5.0 Payment Terms, Security & Escrow
Online credit and commercial card transactions are processed through encrypted Level-1 PCI-DSS compliant gateways. For fleet orders and institutional purchase orders exceeding $10,000 USD, payment must be remitted via verifiable bank telegraphic transfer (SWIFT Wire) or an Irrevocable Confirmed Letter of Credit (L/C) issued by an internationally rated Tier-1 financial institution.
Production scheduling and dispatch queues are finalized upon receipt of cleared funds or confirmed financial instruments.
6.0 Freight, Delivery & Risk of Loss (Incoterms 2020)
Unless otherwise negotiated in writing, international freight is governed by Incoterms 2020: EXW (Ex Works) or CIF (Cost, Insurance & Freight) to the nominated international port of entry or military logistics hub.
Risk of loss and damage to goods passes to the Buyer upon transfer of the shipment to the carrier or certified freight forwarder. Mercatus ensures all consignments are securely packaged in export-grade, tamper-evident military packaging with comprehensive transit insurance.
7.0 Warranty Provisions & Technical Limitations
Mercatus warrants all components against manufacturing defects under normal operating and maintenance parameters:
- Ballistic Glass & Transparent Armor: Thirty-six (36) months warranty against chemical delamination, optical clouding, and separation under ambient operating temperatures (-20°C to +55°C).
- Heavy Mechanical Systems (Actuators, Suspensions, Braking): Twenty-four (24) months or 40,000 kilometers, whichever occurs first.
- Electronic Countermeasures (ASDS & AFSS): Twelve (12) months warranty on electronic modules and discharge actuators.
Warranties strictly exclude damage caused by hostile kinetic engagement, IED blasts, improper installation, accident, or field tampering.
8.0 Governing Law & Commercial Arbitration
These Terms and all subsequent procurement contracts shall be governed by and construed in accordance with the substantive laws of England and Wales, excluding conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by binding arbitration under the Rules of the International Chamber of Commerce (ICC) by one or more arbitrators appointed in accordance with said Rules.
